Terms of Service

These Terms of Service ("Terms") govern your use of the Coeus desktop application and related services provided by Coeus ("we", "us", "our"). By downloading, installing, or using Coeus, you agree to these Terms.

What Coeus is

Coeus is a desktop application for personal knowledge management. It indexes a folder of Markdown notes on your computer and provides AI-assisted search, capture, and retrieval over those notes. Coeus connects to AI providers that you configure and control.

Beta software

Coeus is currently in beta. This means:

• The software is under active development and will contain bugs, incomplete features, and unexpected behavior.
• Features may change, be added, or be removed between updates.
• We make no guarantees about uptime, stability, or data integrity during the beta period.
• We recommend maintaining your own backups of your notes folder independent of Coeus.

We appreciate your feedback during this period. Reporting bugs and sharing what works or doesn't helps us improve the product.

Your data and ownership

You own your data. Coeus does not claim any ownership or license over your notes, files, attachments, or any content you create or import.

Your notes are stored as plain Markdown files in a folder you choose on your computer. Coeus creates a local index and database derived from those files. This index is a cache that can be deleted and rebuilt at any time without affecting your notes.

If you stop using Coeus, your notes remain as ordinary files on your filesystem. Uninstalling the application does not modify or delete your notes folder.

AI providers

Coeus connects to third-party AI providers that you choose and configure. These may include cloud-based services, such as Anthropic, OpenAI, or others, or locally-running models, such as Ollama or LM Studio.

When you use a cloud-based AI provider through Coeus:

• Content from your messages and relevant note excerpts may be sent to that provider to generate responses.
• That data is subject to the AI provider's own terms of service and privacy policy, not ours.
• You are responsible for reviewing and agreeing to your AI provider's terms.
• You are responsible for any costs incurred with your AI provider.

Coeus does not control how third-party AI providers process, store, or use the data you send them.

Acceptable use

You agree not to:

• Use Coeus to violate any applicable law or regulation.
• Reverse engineer, decompile, or disassemble the Coeus application, except where permitted by applicable law.
• Redistribute, sublicense, or resell Coeus without our written permission.
• Attempt to circumvent any licensing or access controls in the software.

Intellectual property

The Coeus application, including its code, design, documentation, and branding, is owned by Coeus and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

Your notes and content remain yours. Nothing in these Terms transfers ownership of your content to us.

Disclaimer of warranties

Coeus is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The software will be uninterrupted, error-free, or free of bugs.
• The software will meet your specific requirements.
• Any defects will be corrected within a particular timeframe.
• The results obtained from using the software will be accurate or reliable.

This disclaimer applies to the fullest extent permitted by applicable law.

Limitation of liability

To the maximum extent permitted by law, Coeus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of or inability to use the software.

Our total liability for any claim arising from these Terms or your use of Coeus shall not exceed the amount you paid us for the software in the twelve months preceding the claim, or $50, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify and hold harmless Coeus from any claims, damages, losses, or expenses, including reasonable attorney fees, arising from your use of the software, your violation of these Terms, or your violation of any third-party rights.

Updates

Coeus may offer software updates from time to time. Updates may include bug fixes, new features, or changes to existing features. You can choose when to install updates through the application. We may require certain updates for continued use of the software or related services.

Termination

You may stop using Coeus at any time by uninstalling the application. Your notes and files are not affected by uninstalling.

We may suspend or terminate your access to Coeus or related services if you violate these Terms. In the event of termination, the sections on Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law survive.

Future paid services

Coeus is currently free during the beta period. We intend to introduce paid licensing in the future. When pricing is established, we will provide notice and update these Terms accordingly.

Changes to these Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of Coeus after changes are posted constitutes your acceptance of the revised Terms.

Governing law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in California.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
